These Terms and Conditions ("Terms") govern the use of the online course and coaching services ("Services") provided by Paper Lark Pty Ltd ("Company"), to you ("User" or "You"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, please email [email protected] to discuss.

1. Services Overview: 

Under the terms of this Agreement, Alys Maley of Paper Lark Pty Ltd agrees to provide online courses, memberships and coaching services to “You” in the form of video, audio and/or visual presentations, and periodic personal coaching and evaluation (the “Program”) in exchange for a fee (the “Program Fee”), of which you have selected. Your access to the Program is conditional on Paper Lark Pty Ltd’s receipt of the Program Fee.

2. Registration and Account: 

To access the Services, you may need to create an account. You agree to provide accurate and up-to-date information during the registration process. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

3. Payment:

By entering into this Agreement, YOU agree and understand that you are committing to pay Alys Maley of Paper Lark Pty Ltd. the Program Fee for 12 weeks of the Program named the PROFIT FORMULA. Three (3) Payments each Month of $1731 USD.

4. Intellectual Property: 

All content and materials provided as part of the Services, including but not limited to Confidential Information, trademarks, trade secrets, course materials, videos, spreadsheets, and coaching sessions, are the sole property of Alys Maley of Paper Lark Pty Ltd and are protected by copyright and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the materials solely for your personal, non-commercial use. 

5. Prohibited Use: 

You agree not to reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform any content or materials from the Services without the prior written consent of the Company. You also agree not to engage in any activity that could interfere with the proper functioning of the Services or that may harm the Company's reputation.

6. Termination:

The Company reserves the right to suspend or terminate your access to the Services at its discretion, including for violation of these Terms. Upon termination, you will no longer have access to the Services or any related materials.

7. Promotional Material:

By entering into this Agreement, YOU affirmatively agree and acknowledge that Alys Maley of Paper Lark Pty Ltd may at any time reproduce any testimonial either directly or indirectly, of YOUR experience in the PROFIT FORMULA, including any specific results experienced by YOU over the course of YOUR participation. Additionally, YOU irrevocably and permanently grant, assign and convey to the PROFIT FORMULA the right to use, broadcast, distribute, and exhibit in any form now or later developed, including publications for promotion on website entries and social media sites, such testimonials. Alys Maley of Paper Lark Pty Ltd has the rights to use YOUR first name, likeness, image, photograph, voice, and video for video testimonial purposes that are mutually agreed upon with YOU (collectively “YOUR Materials”). YOU irrevocably and permanently waive any right to royalties or other compensation arising from or related to the use of YOUR Materials.

NOTE: Alys Maley of Paper Lark Pty Ltd agrees to protect your identity and your chosen niche and products when using any such testimonials. 

8. Confidentiality:

YOU are being granted access to the Program, and during the Program, you will be exposed to Paper Lark Pty Ltd and THE PROFIT FORMULA’S proprietary and/or confidential information (collectively “Confidential Information”). Unless specifically and expressly authorized by this Agreement, YOU shall not use, teach, sell, disclose, reveal, provide or make available to any third party any of THE PROFIT FORMULA’S Confidential Information, including, but not limited to, materials (whether in electronic form or made available to YOU in private social media groups, or otherwise), documentation, techniques, formulas, methods, processes, algorithms, code, software, designs, uses, apparatuses, notes, trade and service marks, trade dress, trade secrets, images, video, audio, intellectual property, or any login member credentials. 

YOU warrant, represent, and agree to:

(i) hold the Confidential Information in trust and confidence and avoid the disclosure or release thereof to any other person or entity by using the same degree of care as YOU use to avoid unauthorized use, disclosure, or dissemination of YOUR own confidential information of a similar nature, but not less than reasonable care; and

(ii) not use the Confidential Information for any purpose whatsoever except as expressly contemplated under this Agreement. THE PROFIT FORMULA (or its licensor) shall at all times retain all rights, ownership, title, and interest in any Confidential Information.

9. Client Privacy:

During the 12 week PROFIT FORMULA Program you may be privy to confidential information regarding the niche ideas, research and financial findings of other clients within THE PROFIT FORMULA Program. This confidential information applies to, but is not limited to, posts within the Facebook Groups, Live Q&A Recordings & General Slack channel. YOU acknowledge that it is forbidden to copy the content or ideas of Alys Maley or any other client in the Program. Any information of a confidential nature will be removed from the Facebook Group and weekly Live Q&A Recordings at the discretion of Alys Maley to protect the confidential nature of niche research findings of current and past clients. You also agree to not sell products that compete with graduates of THE PROFIT FORMULA Program unless discussed with Alys Maley prior to launching your Etsy shop.

10. Success not Guaranteed:

By entering into this Agreement, YOU agree and understand that Paper Lark Pty Ltd is only granting YOU access to THE PROFIT FORMULA which attempts to teach YOU profitability research techniques intended to help YOU grow YOUR business. THE PROFIT FORMULA guarantees no specific results. YOU take full responsibility for YOUR own success. YOU acknowledge that everyone's success is different and depends on numerous factors, including, but not limited to, YOUR own drive, dedication, and motivation. Any examples of income or testimonials are not meant as a promise or guarantee of YOUR own earnings or success, and YOU should not rely upon them in any manner whatsoever.

11. No Refunds.

THE PROFIT FORMULA abides by a strict no-refund policy in cases when YOU have opened Module 3 Viability of the Program. YOU further acknowledge and agree that, by entering into this Agreement, YOU are taking full responsibility for YOUR own success and therefore YOU will not request a refund. By entering into this Agreement, YOU agree and understand that you are permanently waiving the right to seek or claim any refund of the Program Fee. 

12. User Content:

 If you provide any feedback, comments, or other content to the Company ("User Content"), you grant the Company a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute your User Content for the purpose of providing and improving the Services.

13: Disclaimer of Warranties: 

The Services are provided "as is" and "as available" without any warranties of any kind, whether express or implied. The Company does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.

14: Limitation of Liability: 

In no event will Paper Lark Pty Ltd be liable to YOU or any party related to YOU for any damages, including damages for loss of business profits or other pecuniary loss, whether under a theory of contract, warranty, tort (including negligence), product liability or otherwise, even if Paper Lark Pty Ltd has been advised of the possibility of such damages. Limitations herein described shall be applied to the greatest extent enforceable under applicable law.

15: Indemnification.

YOU will, at YOUR own expense, defend, indemnify, and hold Paper Lark Pty Ltd, its officers, members, managers, agents, attorneys and employees, harmless from any and all claims, actions, liabilities, injuries, damages, losses, grants, costs, and expenses, including attorney fees, arising out of, relating to, or in connection with YOU being granted access to the Program and/or THE PROFIT FORMULA’s provision of any service.

16: Governing Law: 

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction]. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of [Your Jurisdiction].

17: Changes to Terms: 

The Company reserves the right to modify these Terms at any time. Changes will be effective upon posting on the Company's website. It is your responsibility to review these Terms periodically for any updates.

By using the Services, you acknowledge that you have read, understood, and agree to these Terms and Conditions. If you do not agree with any provision of these Terms, please do not use the Services.
